Effective date: September 26, 2025
Parties: Conversion Marketing Pros ("CMP") and GoCreditPros ("GCP").
1. Purpose
This Agreement sets the commercial terms for monthly-recurring-revenue sales and onboarding-related revenue between CMP and GCP.
2. Definitions
- "MRR-type Sales": Recurring subscription or service payments billed monthly or at regular intervals, net of refunds and chargebacks.
- "Onboarding Fees": One-time implementation, setup, migration, training, or similar start-up charges invoiced to the customer at or near service commencement.
- "Net Proceeds": Gross collected amounts actually received by CMP from the customer, less sales tax, payment processor fees, refunds, and chargebacks.
3. Revenue Share
3.1 MRR-type Sales Share
- Forty percent (40%) of Net Proceeds from MRR-type Sales shall be paid to GCP each month.
3.2 Onboarding Fees Over $1,000
- For any single customer where Onboarding Fees exceed $1,000 (USD) in the aggregate for the initial onboarding scope, all amounts above $1,000 shall be split fifty-fifty (50/50) between CMP and GCP.
- The first $1,000 of Onboarding Fees is retained by CMP to defray baseline onboarding costs.
3.3 Examples (illustrative)
- If MRR collected in a month is $5,000 Net Proceeds, CMP provides the support team, and ongoing works and GCP’s share is $2,000 without obligation.
- If Onboarding Fee totals $2,800 Net Proceeds, GCP receives 50% of $1,800 = $900; CMP retains $900 and $1,000 to facilitate buildout and cost of fulfillment baseline.
4. Invoicing and Payment
- Online Portal: All payment information and records can be accessed by GCP through the online portal at portal.conversionpros.io. No separate monthly statements will be provided.
